Cross-Border Transactions

These services are primarily for issuers looking to manage overseas listings; looking to acquire a foreign company, or embarking on a corporate restructuring. This can include changing domicile, creating branch registers, dual company structures and overseas dividend payments.

UK Depositary Interests (DI)

Many non-UK companies listing in London use DIs to support local registration, transfer and settlement of entitlements to their securities in the UK settlement system. DIs are an instrument issued under UK law against deposit of the issuer’s securities with a custodian, to facilitate efficient and cost-effective electronic settlement in the UK. DIs may also be used by issuers looking to support a substantial shareholder base in the UK, even where they are not listed in London. Computershare is the market leader in the provision of DI solutions.

Depositary Receipts

(American Depositary Receipts: ADRs, Global Depositary Receipts: GDRs)

Many non-US issuers (except for Canadian issuers) choose to have their securities listed and/or traded in the US in the form of ADRs. ADRs are US securities, registered with the SEC, issued by a US depositary bank (such as Computershare Trust Co. NA - CTCNA) representing foreign shares on deposit with a custodian in the issuer’s local market. Please note that Computershare in the US has an exclusive ADR depositary bank arrangement with Citibank.

CHESS Depositary Interests (CDIs)

Non-Australian companies use CDIs as an instrument to support electronic registration, transfer and settlement of their securities listed on the Australian Stock Exchange. CDIs are issued by the depositary, usually CHESS Depository Nominees (a subsidiary of ASX), against deposit of the issuer’s securities in a custody account in the issuer’s local market. The issuer appoints an Australian registrar, such as Computershare, to administer the CDI register. Computershare is the market leader in the provision of CDI solutions in Australia.

Custody

Computershare offers custody services for shares and other equity securities (including corporate actions) in various markets, including Australia, US, Canada, UK, Germany and South Africa, to both Computershare entities and outside entities. Assets may be custodised either within the local CSDs (Central Securities Depositories, such as CHESS, DTC, CREST, Clearstream and STRATE), or on the register maintained by the local Computershare entity.
